Terms of Service

1. Acceptance of Terms

By accessing or using the CapMatch platform ("Platform") operated by AssetEdge Capital, LLC ("AssetEdge Capital," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Platform. These Terms constitute a legally binding agreement between you and AssetEdge Capital.

2. Description of Service

CapMatch is a loan matching platform that connects real estate borrowers with private money lenders. The Platform facilitates introductions between parties but does not itself provide loans, act as a lender, broker, or financial advisor. AssetEdge Capital is not a party to any transaction between borrowers and lenders.

We reserve the right to modify, suspend, or discontinue the Platform or any features at any time without prior notice.

3. Eligibility

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using the Platform, you represent and warrant that you meet these requirements. The Platform is intended for use by business entities and professionals engaged in real estate investment and lending activities.

4. Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts, remove content, or cancel deals at our sole discretion.

5. User Roles and Conduct

Borrowers

By submitting a deal on the Platform, you represent that the information provided is accurate and complete to the best of your knowledge. You authorize AssetEdge Capital to share your deal information with matched lenders for the purpose of facilitating an introduction.

Lenders

By registering as a lender, you represent that your lending criteria is accurate and that you are authorized to make lending decisions. You agree to treat borrower information as confidential and to use it solely for evaluating lending opportunities through the Platform.

Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent information
• Use the Platform for any unlawful purpose
• Circumvent or attempt to circumvent matching fees or platform terms
• Scrape, harvest, or collect data from the Platform without authorization
• Interfere with or disrupt the Platform's infrastructure
• Violate any applicable federal, state, or local laws or regulations

6. Fees and Payment

Use of the Platform for borrowers is currently free of charge. Lenders may be subject to subscription or access fees as described on the applicable pricing pages. All fees are in U.S. dollars and are non-refundable unless otherwise stated.

We reserve the right to change our fee structure at any time with reasonable prior notice. Continued use of paid features after a fee change constitutes acceptance of the new fees.

7. No Financial or Legal Advice

AssetEdge Capital does not provide financial, investment, legal, or tax advice. Information on the Platform is for informational purposes only. Nothing on the Platform should be construed as a recommendation or solicitation to buy, sell, or engage in any financial transaction. You should consult qualified professionals before making any financial or legal decisions.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ASSETEDGE CAPITAL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Platform, including information provided by other users.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASSETEDGE CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE PLATFORM. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless AssetEdge Capital and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Intellectual Property

All content, features, and functionality on the Platform — including text, graphics, logos, and software — are the exclusive property of AssetEdge Capital and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our express written permission.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You waive any right to a jury trial or to participate in a class action lawsuit in connection with your use of the Platform.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your account and access to the Platform at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
